These Terms of Use (these "Terms") govern your access to and use of the website at www.unless.co, including all content, materials, and information available on or through it (the "Site" and the "Materials"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Who We Are
The Site is operated by Unless Management LP ("Unless," "we," "us," or "our"), which serves as investment adviser to, and as sponsor or general partner of, certain private investment funds (each, an "Unless Fund"). For convenience, the Site sometimes refers to "Unless" as if it were a single entity. Unless Management LP and each Unless Fund are separate legal entities, and each is responsible only for its own obligations.
2. Informational Purposes Only; No Offer or Advice
The Materials are provided for general informational purposes only, primarily to describe our investment focus to entrepreneurs, portfolio companies, and others interested in our work.
Nothing on the Site is (a) an offer to sell, or a solicitation of an offer to buy, any interest in any Unless Fund or any other security; (b) investment, legal, tax, accounting, or other advice, or an offer to provide such advice; or (c) a recommendation or basis for any investment decision. Interests in Unless Funds are offered only to eligible investors through confidential offering documents, and only in jurisdictions where such an offer is lawful. Any such offer is governed exclusively by those offering documents. The Site is not directed to prospective investors in any Unless Fund.
3. Portfolio Companies and Forward-Looking Statements
Companies featured on the Site are selected based on availability of permission to feature the company and do not represent all investments made by any Unless Fund. They should not be assumed to have been, or to be, profitable, and they are not indicative of the performance of any Unless Fund. Descriptions of portfolio companies, including statements about their technologies, products, and market positions, are based on information provided by those companies and have not been independently verified by us. Quotations from portfolio company personnel reflect their own views and are not endorsements of, or statements about, Unless or any Unless Fund.
Past performance is not indicative of future results. Statements on the Site about future events, trends, or expectations are forward-looking statements based on assumptions that may prove incorrect. We have no obligation to update any forward-looking statement or other Materials.
4. No Warranties
THE SITE AND THE MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. The Materials are provided in summary form, may be affected by our confidentiality obligations to investors, portfolio companies, and others, and are not intended to be a complete or balanced description of Unless, any Unless Fund, or any investment. We do not warrant that the Site will be uninterrupted, secure, or free of viruses or other harmful components.
5. Investor Portal and Third-Party Websites
The Site links to an investor portal operated by a third-party fund administrator, as well as to portfolio company websites, social media, and other third-party sites. Your use of the investor portal is governed by your agreements with the applicable Unless Fund and by the portal operator's terms and privacy policy, and not by these Terms. We are not responsible for the content, availability, or practices of any third-party website, and your use of any such website is at your own risk.
6. Intellectual Property
The Site and the Materials, including text, graphics, logos, video, and design, are owned by Unless, its affiliates, or third parties that have licensed them to us, and are protected by copyright, trademark, and other laws. The UNLESS name and logo are registered trademarks of Unless. Third-party names and logos, including those of portfolio companies, belong to their respective owners, and their appearance on the Site does not imply any endorsement. Subject to these Terms, you may view, download, and print the Materials for your own personal, non-commercial, informational use, provided you do not modify them or remove any proprietary notices. All other rights are reserved.
7. Acceptable Use
You agree not to (a) use the Site in violation of any law; (b) interfere with or disrupt the Site or attempt to gain unauthorized access to any system or network connected to it; (c) introduce viruses or other harmful code; (d) use automated means to access, scrape, or copy the Site or the Materials, except as permitted by standard search engine indexing; or (e) misrepresent your affiliation with Unless or use the Site or the Materials to imply an affiliation with or endorsement by Unless.
8. Unsolicited Submissions
We review a large number of business plans and proposals, many of which are similar to each other or to ideas we are already considering. Unless we have agreed otherwise in a written agreement signed by an authorized representative of Unless, any business plan, idea, or other material you send us is not confidential, no confidential or fiduciary relationship is created, and we may use or disclose it without obligation to you. Please do not send us material you consider confidential or proprietary without a signed confidentiality agreement in place.
9. Privacy
Our Privacy Policy, available at www.unless.co/privacy-policy, explains how we handle information in connection with the Site.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER UNLESS, ANY UNLESS FUND, NOR ANY OF THEIR RESPECTIVE AFFILIATES, PARTNERS, MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF, OR RELIANCE ON, THE SITE OR THE MATERIALS, WHETHER BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you. Nothing in these Terms limits any rights you may have under applicable securities laws that cannot be waived.
11. Indemnification
You agree to indemnify and hold harmless Unless, the Unless Funds, and their respective affiliates, partners, members, officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Site.
12. Governing Law and Venue
These Terms, and any dispute arising from or relating to them or to the Site, are governed by the laws of the State of Colorado, without regard to its conflict of laws principles. Any such dispute will be brought exclusively in the state or federal courts located in the City and County of Denver, Colorado, and you consent to the personal jurisdiction of those courts.
13. Access from Outside the United States
The Site is operated from the United States and is intended for a U.S. audience. We make no representation that the Site or the Materials are appropriate or available for use in other jurisdictions. If you access the Site from outside the United States, you do so on your own initiative and are responsible for complying with local law. Do not access the Site where doing so would be unlawful.
14. Changes to These Terms
We may update these Terms from time to time by posting a revised version on the Site and changing the effective date above. Changes apply to your use of the Site after they are posted.
15. General
These Terms are the entire agreement between you and Unless regarding the Site and supersede any prior agreements on that subject. They do not modify any written agreement between you and Unless or any Unless Fund, which will control in the event of a conflict. If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver, and any waiver must be in writing signed by an authorized representative of Unless. You may not assign these Terms; we may assign them without restriction. Each Unless Fund and each person indemnified or protected under these Terms is an intended third-party beneficiary of these Terms.
